Xinhai Mining meets all conditions to fund African Pioneer’s Namibian copper projects

African Pioneer Plc confirms completion of all conditions for its financing and technical services agreement with Hong Kong Xinhai Mining Services Limited, paving the way for a £712,786 share subscription and accelerated development of the Ongombo and Ongeama copper projects in Namibia.

African Pioneer Plc announced that all precedent conditions attached to the agreement signed with Xinhai on 30 July 2026, have now been fully satisfied. These conditions included securing regulatory approvals in China, obtaining necessary consents from African Pioneer shareholders, the London Stock Exchange, and the Financial Conduct Authority, as well as ensuring no material adverse changes affected the projects or their licenses.

The agreement also required a local shareholder to waive any pre-emptive rights or rights of first refusal on the project companies or licenses, which has been fulfilled. African Pioneer had previously stated on 1 September 2026, that final administrative steps were underway, and the recent announcement confirms completion.

With conditions met, focus now turns to Xinhai’s forthcoming £712,786 share subscription in African Pioneer. The company has indicated the funds have not yet been received and will issue a further announcement once payment is confirmed. Following receipt, African Pioneer will issue subscription shares and warrants to Xinhai and convert £30,000 of previously paid intention money into 3.33 million African Pioneer shares.

This share subscription is part of a broader financing and technical services partnership aimed at advancing African Pioneer’s Namibian copper assets. Under the 30 July 2026, agreement, Xinhai’s role extends beyond investment to include funding and technical support for a staged development program covering additional exploration, resource work, engineering, and eventual mine construction.

African Pioneer recently announced plans to deploy up to four diamond drill rigs at both Ongombo and Ongeama. At Ongombo, drilling will provide geotechnical data essential for designing open-pit and underground mines and will support updating the project’s mineral resource estimate, which currently stands at approximately 29 million tonnes grading 1.1% copper equivalent under JORC standards.

The development plan envisions detailed engineering work at Ongombo and, subject to achieving key milestones, construction of a processing plant with an annual capacity of at least 720,000 tonnes of ore, alongside the initial phase of an underground decline.

African Pioneer and Xinhai are now positioned to move forward with this significant copper development that promises to enhance the value of Namibia’s mining sector.
